These Terms of Service ("Terms") are the rules for using the websites, courses, coaching and other services of Gregg Goodhart, The Learning Coach. By visiting our sites, creating an account, buying anything, or taking part in a session, you agree to these Terms. If you do not agree, please do not use the Services.
Please also read our Privacy Policy, which explains how we handle your information. It is part of these Terms.
1. Who we are and what these Terms cover
"We," "us" and "our" mean Gregg Goodhart, doing business as The Learning Coach. "You" means the person using the Services, or the school, team or company that person represents.
The "Services" include gregggoodhart.com, secure.gregggoodhart.com, the-learningcoach.com, ggoodhart.com and any other site we run; The Vault membership; our online courses, including Practiclass and Perfect Practice; our downloadable guides, videos and PDFs; private and group coaching and lessons; webinars; workshops, talks and teacher training; and our emails and text messages.
Some Services come with their own terms, such as an offer page, an order form, or a signed agreement for a workshop. If those terms conflict with these Terms, the more specific terms win for that Service.
2. Who can use the Services
You must be at least 18 years old, or the age of majority where you live, to make a purchase or create an account. Young people can take part in our coaching, lessons and courses when a parent or guardian signs up for them, agrees to these Terms for them, and stays responsible for their use. When a school or organization brings us in to work with its students, that school or organization is responsible for any parent permission it needs.
3. Accounts
- Give us true and current information, and keep it up to date.
- Keep your password private. You are responsible for what happens under your account.
- Accounts are for one person. Do not share your login or let others use your access. If you want access for a group, school or team, contact us about a group license.
- Tell us right away if you think someone else has used your account.
4. Purchases and prices
- Prices are shown in U.S. dollars unless we say otherwise, and do not include any taxes that may apply.
- Payments are handled by outside payment processors, such as Stripe, PayPal and the ClickFunnels payment system. By paying, you also agree to their terms.
- You confirm that you are allowed to use the payment method you give us.
- We may change prices, offers and products at any time. A price change will not affect an order we have already accepted.
- If we make a pricing mistake, we may cancel the order and refund you, or contact you to fix it before we charge you.
- Special offers, bonuses and discounts last only as long as the offer page says, and cannot be combined unless we say so.
5. Subscriptions, trials and memberships
Some of our products, such as monthly memberships and course subscriptions, renew automatically.
- Automatic renewal. If you sign up for a subscription, you agree that we may charge your payment method at the start of each billing period (for example, every month) at the price shown when you signed up, until you cancel.
- Free and discounted trials. If an offer includes a free or reduced-price period, your regular price starts when that period ends unless you cancel before then. The offer page will say how long the trial lasts and what you will be charged after.
- Canceling. You can cancel a subscription, including Practiclass, at any time by emailing hello@gregggoodhart.com or through your customer account if that option is offered. Your cancellation takes effect on your next billing date, so cancel before then to avoid the next charge. You keep access until the end of the period you already paid for. Charges already made are non-refundable, including the month that is underway when you cancel.
- Price changes. We will give you notice by email before a subscription price goes up, so you have time to cancel.
- Failed payments. If a renewal payment fails, we may try the charge again or pause your access until payment goes through.
6. Refunds
Each product's refund terms are shown on its offer or order page, and those terms apply to that product. If an offer page does not list refund terms, contact us within 14 days of your purchase and we will review your request in good faith.
Practiclass one-time purchases. If you buy Practiclass as a one-time purchase, you can ask for a refund within 14 days. If a live Practiclass takes place inside those 14 days, the refund window closes when that class happens, because you then have access to the recording.
Refunds go back to the original payment method. If you get a refund, your access to that product ends. Nothing in these Terms takes away any refund right you have under the law.
Please contact us before filing a chargeback with your bank. We are happy to help, and most problems are quick to fix.
7. Coaching, lessons and live sessions
- Scheduling and refunds. Sessions are scheduled by agreement. If you need to move a session, let us know and we will make every effort to reschedule. If you ask for a refund after your first Practice Coaching session, you will get a full refund. Practice Coaching is non-refundable once you attend your second session, which is usually about a week after the first.
- Packages. Session packages must be used within the time stated when you bought them. If no time was stated, sessions expire 12 months after purchase.
- Online sessions. Online sessions run on Zoom or a similar tool. You are responsible for your own internet connection, device and practice space.
- Recordings. Group sessions and webinars may be recorded and shared with participants or used in our courses. We will tell you when a session is recorded. Do not record any session yourself without our permission.
- Your effort. Coaching works best when you practice and apply what you learn. You are in charge of your own choices and results.
8. Workshops, speaking and school training
Workshops, talks, teacher training and other events booked by a school, district, team or organization are covered by the booking agreement, quote or invoice for that event, along with these Terms. That agreement controls fees, travel, dates, cancellation and recording rights. If there is no separate agreement, these Terms apply.
9. Our content and how you may use it
All content in the Services, including videos, courses, lessons, PDFs, guides, worksheets, articles, audio, images, logos, and the names Gregg Goodhart, The Learning Coach, Practiclass and Perfect Practice, belongs to us or to the people who license it to us. It is protected by copyright, trademark and other laws.
When you buy a course or download a guide, we give you a personal, limited, non-transferable license to use it for your own learning. Unless we agree in writing, you may not:
- Copy, share, resell, rent or give away our courses, videos, PDFs or other paid or member content.
- Post our content on another website, social media, file-sharing site, or course platform.
- Download or record videos that are only meant to be streamed.
- Use our content to teach your own paid courses, workshops or training.
- Remove copyright or other notices from our materials.
- Use our content to train artificial intelligence or machine learning tools.
Teachers and coaches may share short quotes and ideas from our free public content with their students, as long as they credit Gregg Goodhart and link to gregggoodhart.com. For wider use, contact us. We are glad to talk about school and group licenses.
10. Content you share with us
You keep ownership of anything you send or post, such as comments, questions, videos for feedback, and testimonials ("Your Content").
- Videos and work for feedback. We use these only to coach you, and we will not post them publicly without your permission.
- Testimonials and reviews. When you give us a testimonial, you allow us to use it, with your name and the details you agreed to, on our sites, in emails, in ads and on social media. We may shorten it or fix typos without changing its meaning. You can ask us to stop using it at any time, and we will remove it from places we control.
- Comments and posts. When you post in a course community, comment area or live chat, you allow us to show, store and use that post to run the Services.
- You confirm that you have the right to share Your Content, and that it does not break any law or anyone else's rights.
Ideas or suggestions you send us may be used without paying you or owing you anything.
11. Rules for using the Services
When using the Services, you agree not to:
- Break any law, or help anyone else do so.
- Harass, threaten, bully or be abusive toward Gregg, our team or other participants.
- Post anything hateful, sexual, violent, misleading or spam.
- Pretend to be someone else, or misrepresent who you are.
- Try to get into accounts, systems or areas you are not allowed to access, or get around paywalls or limits.
- Upload viruses or harmful code, or do anything that slows down or damages the Services.
- Use bots, scrapers or other automated tools to copy content or collect information from the Services.
- Collect other participants' personal information without their permission.
12. Emails and text messages
By giving us your email address, you agree that we may email you about your orders, account and the Services, and send you marketing emails if you signed up for them. You can unsubscribe from marketing emails at any time with the link in each email.
If you give us your mobile number and agree to receive texts, you agree that we may send you reminders, updates and offers by text, which may be sent with automated tools. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for help. Agreeing to texts is never required to buy anything. Carriers are not responsible for delayed or undelivered messages.
13. Educational information only, no guarantees
Our Services teach learning and practice methods based on research and experience. They are for education only.
- They are not medical, psychological, therapy, legal or financial advice. Talk to a qualified professional about health, learning disabilities, mental health or injuries.
- Physical practice, including sports training and long periods of instrument practice, carries some risk of strain or injury. Use good judgment, take breaks, and stop if something hurts.
- Results depend on many things, including your effort, time, starting point and circumstances. Stories and testimonials on our sites show what some people experienced. They are not promises that you will get the same results. We do not guarantee any grade, test score, audition result, scholarship, roster spot, or other outcome.
14. Other websites and services
The Services link to, and run on, websites and tools from other companies, such as ClickFunnels, Zoom, YouTube, Vimeo, payment processors and social networks. We do not control those companies and are not responsible for their content, policies or how they work. Your use of them is governed by their own terms.
15. Affiliate links and partners
Some links on our sites or in our emails may be affiliate links. If you buy through one, we may earn a small fee at no extra cost to you. We only recommend things we believe are useful. We also run a referral program, and partners who send people to us may earn a commission.
16. Disclaimer
We work hard to make the Services helpful and reliable, but we provide them "as is" and "as available." To the fullest extent the law allows, we make no promises of any kind, stated or implied, including promises that the Services will meet your needs, be error-free, be uninterrupted, or be free of viruses, and including any implied warranties of merchantability, fitness for a particular purpose or non-infringement. Some places do not allow these limits, so some of them may not apply to you.
17. Limit of liability
To the fullest extent the law allows, we will not be responsible for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost opportunities, that come from your use of the Services, even if we were told they might happen.
To the fullest extent the law allows, our total responsibility for any claim related to the Services is limited to the greater of the amount you paid us in the 12 months before the claim, or $100.
These limits do not apply where the law does not allow them, such as for gross negligence, intentional wrongdoing, or harm that cannot legally be limited.
18. Your responsibility for claims
If someone makes a claim against us because you broke these Terms, broke the law, or posted Your Content, you agree to cover our reasonable costs and losses from that claim, including reasonable attorneys' fees, to the extent the law allows.
19. Ending access
You can stop using the Services at any time. We may suspend or end your access, without a refund, if you break these Terms, share your login, copy or share paid content, abuse others, or if we must do so to follow the law. If we end your access for any other reason, we will refund the unused part of any prepaid fees. Sections that by their nature should continue after access ends, such as those about content ownership, disclaimers, limits of liability and disputes, will continue.
We may change, pause or stop offering any part of the Services. If we stop a paid product you bought for a set period, we will refund the unused part or offer something of similar value.
20. Copyright complaints
We respect the rights of creators. If you believe something on our sites copies your work, email us at hello@gregggoodhart.com with: your contact details; a description of your work; the web address where the copy appears; a statement that you believe in good faith the use is not allowed; a statement, under penalty of perjury, that your notice is accurate and that you own the work or may act for the owner; and your signature. We will review it and remove material when appropriate.
21. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its rules on conflicts of law. If you have a problem, please contact us first. Most issues can be settled quickly with a conversation. If we cannot settle it within 30 days, either of us may bring a claim in small claims court, or in the state or federal courts located in Los Angeles County, California, and we both agree to those courts' jurisdiction. If you are a consumer living outside the United States, you may also have the right to bring a claim in your home country's courts, and nothing here takes away rights you have under your local consumer laws.
22. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top, and for important changes we will let you know by email or with a notice on our sites. If you keep using the Services after a change takes effect, you accept the new Terms. Changes will not apply to a purchase you made before the change, unless you agree.
23. General terms
- Whole agreement. These Terms, our Privacy Policy, and any offer page or agreement for a specific Service are the whole agreement between you and us about the Services.
- If part is invalid. If any part of these Terms cannot be enforced, the rest stays in effect.
- No waiver. If we do not enforce part of these Terms right away, we can still enforce it later.
- Transfer. You may not transfer your rights under these Terms to anyone else. We may transfer ours, for example if our business is sold or reorganized.
- Things outside our control. We are not responsible for delays or failures caused by events we cannot reasonably control, such as internet or platform outages, natural disasters, illness or government action.
- Electronic communication. You agree that we can send notices, receipts and agreements to you electronically, and that they count as being "in writing."
